  6. </p><p><font size="3"></font><font size="2">THE ACCOMPANYING PROGRAM IS
  7. PROVIDED UNDER THE TERMS OF THIS COMMON PUBLIC LICENSE ("AGREEMENT").
  8. ANY USE, REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES
  9. RECIPIENT'S ACCEPTANCE OF THIS AGREEMENT.</font>
  10. </p><p><font size="2"></font>
  11. </p><p><font size="2"><b>1. DEFINITIONS</b></font>
  12. </p><p><font size="2">"Contribution" means:</font>
  13. </p><ul><font size="2">a) in the case of the initial Contributor, the initial code and documentation distributed under this Agreement, and<br clear="left">
  14. b) in the case of each subsequent Contributor:</font></ul>
  15. <ul><font size="2">i) changes to the Program, and</font></ul>
  16. <ul><font size="2">ii) additions to the Program;</font></ul>
  17. <ul><font size="2">where such changes and/or additions to the Program originate from and are distributed by that particular Contributor. </font><font size="2">A
  18. Contribution 'originates' from a Contributor if it was added to the
  19. Program by such Contributor itself or anyone acting on such
  20. Contributor's behalf. </font><font size="2">Contributions do not
  21. include additions to the Program which: (i) are separate modules of
  22. software distributed in conjunction with the Program under their own
  23. license agreement, and (ii) are not derivative works of the Program. </font></ul>
  24. <p><font size="2"></font>
  25. </p><p><font size="2">"Contributor" means any person or entity that distributes the Program.</font>
  26. </p><p><font size="2"></font><font size="2"></font>
  27. </p><p><font size="2">"Licensed Patents " mean patent claims licensable
  28. by a Contributor which are necessarily infringed by the use or sale of
  29. its Contribution alone or when combined with the Program. </font>
  30. </p><p><font size="2"></font><font size="2"></font>
  31. </p><p><font size="2"></font><font size="2">"Program" means the Contributions distributed in accordance with this Agreement.</font>
  32. </p><p><font size="2"></font>
  33. </p><p><font size="2">"Recipient" means anyone who receives the Program under this Agreement, including all Contributors.</font>
  34. </p><p><font size="2"><b></b></font>
  35. </p><p><font size="2"><b>2. GRANT OF RIGHTS</b></font>
  36. </p><ul><font size="2"></font><font size="2">a) </font><font size="2">Subject to the terms of this Agreement, each Contributor hereby grants</font><font size="2"> Recipient a non-exclusive, worldwide, royalty-free copyright license to</font><font color="#ff0000" size="2"> </font><font size="2">reproduce,
  37. prepare derivative works of, publicly display, publicly perform,
  38. distribute and sublicense the Contribution of such Contributor, if any,
  39. and such derivative works, in source code and object code form.</font></ul>
  40. <ul><font size="2"></font></ul>
  41. <ul><font size="2"></font><font size="2">b) Subject to the terms of this Agreement, each Contributor hereby grants </font><font size="2">Recipient a non-exclusive, worldwide,</font><font color="#008000" size="2"> </font><font size="2">royalty-free
  42. patent license under Licensed Patents to make, use, sell, offer to
  43. sell, import and otherwise transfer the Contribution of such
  44. Contributor, if any, in source code and object code form. This patent
  45. license shall apply to the combination of the Contribution and the
  46. Program if, at the time the Contribution is added by the Contributor,
  47. such addition of the Contribution causes such combination to be covered
  48. by the Licensed Patents. The patent license shall not apply to any
  49. other combinations which include the Contribution. No hardware per se
  50. is licensed hereunder. </font></ul>
  51. <ul><font size="2"></font></ul>
  52. <ul><font size="2">c) Recipient understands that although each
  53. Contributor grants the licenses to its Contributions set forth herein,
  54. no assurances are provided by any Contributor that the Program does not
  55. infringe the patent or other intellectual property rights of any other
  56. entity. Each Contributor disclaims any liability to Recipient for
  57. claims brought by any other entity based on infringement of
  58. intellectual property rights or otherwise. As a condition to exercising
  59. the rights and licenses granted hereunder, each Recipient hereby
  60. assumes sole responsibility to secure any other intellectual property
  61. rights needed, if any. For example, if a third party patent license is
  62. required to allow Recipient to distribute the Program, it is
  63. Recipient's responsibility to acquire that license before distributing
  64. the Program.</font></ul>
  65. <ul><font size="2"></font></ul>
  66. <ul><font size="2">d) Each Contributor represents that to its knowledge
  67. it has sufficient copyright rights in its Contribution, if any, to
  68. grant the copyright license set forth in this Agreement. </font></ul>
  69. <ul><font size="2"></font></ul>
  70. <p><font size="2"><b>3. REQUIREMENTS</b></font>
  71. </p><p><font size="2"><b></b>A Contributor may choose to distribute the Program in object code form under its own license agreement, provided that:</font>
  72. </p><ul><font size="2">a) it complies with the terms and conditions of this Agreement; and</font></ul>
  73. <ul><font size="2">b) its license agreement:</font></ul>
  74. <ul><font size="2">i) effectively disclaims</font><font size="2"> on
  75. behalf of all Contributors all warranties and conditions, express and
  76. implied, including warranties or conditions of title and
  77. non-infringement, and implied warranties or conditions of
  78. merchantability and fitness for a particular purpose; </font></ul>
  79. <ul><font size="2">ii) effectively excludes on behalf of all
  80. Contributors all liability for damages, including direct, indirect,
  81. special, incidental and consequential damages, such as lost profits; </font></ul>
  82. <ul><font size="2">iii)</font><font size="2"> states that any
  83. provisions which differ from this Agreement are offered by that
  84. Contributor alone and not by any other party; and</font></ul>
  85. <ul><font size="2">iv) states that source code for the Program is
  86. available from such Contributor, and informs licensees how to obtain it
  87. in a reasonable manner on or through a medium customarily used for
  88. software exchange.</font><font color="#0000ff" size="2"> </font><font color="#ff0000" size="2"></font></ul>
  89. <ul><font color="#ff0000" size="2"></font><font size="2"></font></ul>
  90. <p><font size="2">When the Program is made available in source code form:</font>
  91. </p><ul><font size="2">a) it must be made available under this Agreement; and </font></ul>
  92. <ul><font size="2">b) a copy of this Agreement must be included with each copy of the Program. </font></ul>
  93. <p><font size="2"></font><font color="#0000ff" size="2"><strike></strike></font>
  94. </p><p><font color="#0000ff" size="2"><strike></strike></font><font size="2">Contributors may not remove or alter any copyright notices contained within the Program. </font>
  95. </p><p><font size="2"></font>
  96. </p><p><font size="2">Each Contributor must identify itself as the
  97. originator of its Contribution, if any, in a manner that reasonably
  98. allows subsequent Recipients to identify the originator of the
  99. Contribution. </font>
  100. </p><p><font size="2"></font>
  101. </p><p><font size="2"><b>4. COMMERCIAL DISTRIBUTION</b></font>
  102. </p><p><font size="2">Commercial distributors of software may accept
  103. certain responsibilities with respect to end users, business partners
  104. and the like. While this license is intended to facilitate the
  105. commercial use of the Program, the Contributor who includes the Program
  106. in a commercial product offering should do so in a manner which does
  107. not create potential liability for other Contributors. Therefore, if a
  108. Contributor includes the Program in a commercial product offering, such
  109. Contributor ("Commercial Contributor") hereby agrees to defend and
  110. indemnify every other Contributor ("Indemnified Contributor") against
  111. any losses, damages and costs (collectively "Losses") arising from
  112. claims, lawsuits and other legal actions brought by a third party
  113. against the Indemnified Contributor to the extent caused by the acts or
  114. omissions of such Commercial Contributor in connection with its
  115. distribution of the Program in a commercial product offering. The
  116. obligations in this section do not apply to any claims or Losses
  117. relating to any actual or alleged intellectual property infringement.
  118. In order to qualify, an Indemnified Contributor must: a) promptly
  119. notify the Commercial Contributor in writing of such claim, and b)
  120. allow the Commercial Contributor to control, and cooperate with the
  121. Commercial Contributor in, the defense and any related settlement
  122. negotiations. The Indemnified Contributor may participate in any such
  123. claim at its own expense.</font>
  124. </p><p><font size="2"></font>
  125. </p><p><font size="2">For example, a Contributor might include the
  126. Program in a commercial product offering, Product X. That Contributor
  127. is then a Commercial Contributor. If that Commercial Contributor then
  128. makes performance claims, or offers warranties related to Product X,
  129. those performance claims and warranties are such Commercial
  130. Contributor's responsibility alone. Under this section, the Commercial
  131. Contributor would have to defend claims against the other Contributors
  132. related to those performance claims and warranties, and if a court
  133. requires any other Contributor to pay any damages as a result, the
  134. Commercial Contributor must pay those damages.</font>
  135. </p><p><font size="2"></font><font color="#0000ff" size="2"></font>
  136. </p><p><font color="#0000ff" size="2"></font><font size="2"><b>5. NO WARRANTY</b></font>
  137. </p><p><font size="2">EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT,
  138. THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR
  139. CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT
  140. LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
  141. MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is</font><font size="2"> solely responsible for determining the appropriateness of using and distributing </font><font size="2">the Program</font><font size="2"> and assumes all risks associated with its exercise of rights under this Agreement</font><font size="2">,
  142. including but not limited to the risks and costs of program errors,
  143. compliance with applicable laws, damage to or loss of data, </font><font size="2">programs or equipment, and unavailability or interruption of operations</font><font size="2">. </font><font size="2"></font>
  144. </p><p><font size="2"></font>
  145. </p><p><font size="2"></font><font size="2"><b>6. DISCLAIMER OF LIABILITY</b></font>
  146. </p><p><font size="2"></font><font size="2">EXCEPT AS EXPRESSLY SET
  147. FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL
  148. HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
  149. EXEMPLARY, OR CONSEQUENTIAL DAMAGES </font><font size="2">(INCLUDING WITHOUT LIMITATION LOST PROFITS),</font><font size="2">
  150. HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
  151. STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING
  152. IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE
  153. EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE
  154. POSSIBILITY OF SUCH DAMAGES.</font>
  155. </p><p><font size="2"></font><font size="2"></font>
  156. </p><p><font size="2"><b>7. GENERAL</b></font>
  157. </p><p><font size="2"></font><font size="2">If any provision of this
  158. Agreement is invalid or unenforceable under applicable law, it shall
  159. not affect the validity or enforceability of the remainder of the terms
  160. of this Agreement, and without further action by the parties hereto,
  161. such provision shall be reformed to the minimum extent necessary to
  162. make such provision valid and enforceable.</font>
  163. </p><p><font size="2"></font>
  164. </p><p><font size="2">If Recipient institutes patent litigation against
  165. a Contributor with respect to a patent applicable to software
  166. (including a cross-claim or counterclaim in a lawsuit), then any patent
  167. licenses granted by that Contributor to such Recipient under this
  168. Agreement shall terminate as of the date such litigation is filed. In
  169. addition, if Recipient institutes patent litigation against any entity
  170. (including a cross-claim or counterclaim in a lawsuit) alleging that
  171. the Program itself (excluding combinations of the Program with other
  172. software or hardware) infringes such Recipient's patent(s), then such
  173. Recipient's rights granted under Section 2(b) shall terminate as of the
  174. date such litigation is filed. </font><font size="2"></font>
  175. </p><p><font size="2"></font>
  176. </p><p><font size="2">All Recipient's rights under this Agreement shall
  177. terminate if it fails to comply with any of the material terms or
  178. conditions of this Agreement and does not cure such failure in a
  179. reasonable period of time after becoming aware of such noncompliance.
  180. If all Recipient's rights under this Agreement terminate, Recipient
  181. agrees to cease use and distribution of the Program as soon as
  182. reasonably practicable. However, Recipient's obligations under this
  183. Agreement and any licenses granted by Recipient relating to the Program
  184. shall continue and survive. </font><font size="2"></font>
  185. </p><p><font size="2"></font>
  186. </p><p><font size="2"></font><font size="2">Everyone is permitted to
  187. copy and distribute copies of this Agreement, but in order to avoid
  188. inconsistency the Agreement is copyrighted and may only be modified in
  189. the following manner. The Agreement Steward reserves the right to </font><font size="2">publish new versions (including revisions) of this Agreement from time to </font><font size="2">time.
  190. No one other than the Agreement Steward has the right to modify this
  191. Agreement. IBM is the initial Agreement Steward. IBM may assign the
  192. responsibility to serve as the Agreement Steward to a suitable separate
  193. entity. </font><font size="2">Each new version of the Agreement will
  194. be given a distinguishing version number. The Program (including
  195. Contributions) may always be distributed subject to the version of the
  196. Agreement under which it was received. In addition, after a new version
  197. of the Agreement is published, Contributor may elect to distribute the
  198. Program (including its Contributions) under the new </font><font size="2">version. </font><font size="2">Except
  199. as expressly stated in Sections 2(a) and 2(b) above, Recipient receives
  200. no rights or licenses to the intellectual property of any Contributor
  201. under this Agreement, whether expressly, </font><font size="2">by implication, estoppel or otherwise</font><font size="2">.</font><font size="2"> All rights in the Program not expressly granted under this Agreement are reserved.</font>
  202. </p><p><font size="2"></font>
  203. </p><p><font size="2">This Agreement is governed by the laws of the
  204. State of New York and the intellectual property laws of the United
  205. States of America. No party to this Agreement will bring a legal action
  206. under this Agreement more than one year after the cause of action
  207. arose. Each party waives its rights to a jury trial in any resulting
  208. litigation.</font>
